Littlejohn & Company has agreed to sell Clean Earth, a provider of landfill avoidance solutions, to Compass Diversified Holdings (NYSE: CODI). The purchase price for Clean Earth, which is one of the largest processors of contaminated soil, dredge sediments, hazardous and non-hazardous soils on the U.S. East Coast, will be based on a total enterprise value of $243 million and will also include cash and working capital adjustments upon closing. Clean Earth generated approximately $32 million of EBITDA for the 12 months ending June 30, 2014, and revenue of around $155.9 million for the year ended December 31, 2013. It handles over three million tons of material annually from New York down to Florida through a network of 12 full-service soil facilities. Littlejohn has backed the company since 2005.
