Vista Equity Partners has agreed to acquire Websense (NASDAQ: WBSN) for about $1 billion. The PE firm intends to pay $24.75 per share, which represents a 29% premium. Based in San Diego, Websense is a software company that helps protect organizations from cyber attacks and data theft. Its software works across web, email and mobile platforms, helping prevent data breaches and intellectual property theft, as well as enforcing security compliance and best practices (i.e. preventing employees from surfing Facebook or accessing inappropriate websites). JP Morgan, RBC Capital Markets and Guggenheim Partners are providing debt financing to support the acquisition.
