Biography

Mr. Michael Kelly serves as Chief Legal & Sustainability Officer at Ontario Municipal Employees Retirement System. He served as Senior Managing Director and Business Manager at OMERS Infrastructure Management. In his role as Executive Vice President and General Counsel, Mr. Kelly heads the legal team at Borealis. Since he joined Borealis in August 2006, Mr. Kelly has been a key member of the management team and is fully versed in the regulatory, tax, and ownership issues of various investment structures in multiple jurisdictions. Under his leadership his group provides legal advice to transaction teams in the pursuit of new infrastructure investment opportunities, including the negotiation of acquisition, partnering, and financing agreements and the coordination of regulatory and structuring advice and internal and external approval processes. The legal team also provides advice regarding the management of existing investments. Prior to joining Borealis, Mr. Kelly was Assistant Vice President, Legal with Manulife Financial. His career experience includes the practice of corporate commercial law at top-tier firms in Toronto, London, England, and Ottawa, where he gained a broad range of experience in corporate and commercial transactions and regulatory law. Mr. Kelly was called to the Bar in Ontario in 1994. He holds an Honours Bachelor of Business Administration degree from Wilfrid Laurier University, and an LLB and MA (International Relations) from the University of Toronto. He also holds a Chartered Director designation from McMaster University.
