Biography

Mr. Zabdaj Pollen serves as Partner & Head, of Corporate/M&A and Capital Markets at Taylor Wessing. Mr. Zabdaj Pollen served as a Partner & Lawyer at AKD Private Equity. He has been active in the legal profession for more than 20 years, of which more than 15 years in the M&A practice. He advises national and international clients on acquisitions, investments, and transactions and assists both buyers and sellers, in exclusive (1-on-1) negotiation processes and in controlled auctions. His transaction support extends to all phases of the transaction process. He is a sparring partner in the preliminary phase of the transaction when the deal strategy is drawn up; he directs due diligence investigations; he conducts contract negotiations; he ensures proper post-closing attention. He always keeps the full focus on a successful close of the deal. The key point in advice is the reduction of complex transactions to material areas of attention and clear management decisions, with an eye for translating legal topics into other work streams the client and his or her other advisers are confronted with. The ultimate goal: is to ensure that the acquisition process is managed in a way that is clear and transparent to the client and to keep the focus on the envisaged completion of the transaction. He has extensive experience in specific aspects of transactions that require additional knowledge from involved advisors, including W&I insurance (buyer's security to recover claims that are becoming increasingly popular), regulatory approval (acquisitions subject to governmental approval such as ACM (merger control), NZ (healthcare) or DNB (financial sector), and the foreign equivalents of those regulatory authorities), acquisition financing (acquisitions that are (partly) financed with new bank debt to be taken out), and purchase price determination (recalculation of enterprise value into share value and the translation thereof to closing documentation). Deal-specific experience has assisted in various setups of complex joint venture structures with detailed and sophisticated arrangements and mechanisms at the shareholder level. This experience makes him specifically qualified and equipped for this transaction, especially given the size, scope, international setting, and complexity.
